Excerpt from the SFSC Foundation Bylaws

ARTICLE V
Executive Committee

Section 2. POWERS AND AUTHORITY – The Executive Committee shall meet at the call of the President and the Secretary shall keep minutes. All actions shall be reported to the next meeting of the Board of Directors. The Executive Committee shall have and may exercise all powers and authority of the Board of Directors when said Board is not in session, subject only to such restrictions or limitations the Board of Directors may from time to time specify or as are limited in the Articles of Incorporation. The Executive Committee shall have no authority to alter, amend, or repeal the Articles of Incorporation or Bylaws, to dispose of real property or to appoint Directors.

No officer shall, for any reason of his office, be entitled to receive any salary or compensation, but nothing herein shall be construed to prevent an officer of director from receiving any compensation from the Foundation for duties other than as a director or officer.

ARTICLE VI
Officers

Section 2. EXECUTIVE DIRECTOR –The Executive Director shall be appointed and compensated by the SFSC District Board of Trustees upon the recommendation of the College President and concurrence of the Board of Directors and shall be evaluated annually by the College President. The Executive Director shall be the principal administrative officer of the Foundation and a full-time employee of the College. The Executive Director shall be a non-voting member of the Board. The Executive Director shall perform such functions as are prescribed by the Board of Directors including the transaction of the usual, necessary and regular business of the Foundation as authorized by the Board of Directors. The Executive Director will execute contracts, deeds, bonds, leases, disbursements and other documents when authorized pursuant to Section 3 below.
